PURPOSE OF THE International Miniature Appaloosa & Pintaloosa Club

  1. To promote the concept and added value of miniature appaloosa and pintaloosa patterned horses.

  2. To promote the concept that member farms are where to look for quality miniature appaloosa & pintaloosa colored horses.

  3. To promote, through our breed registries, judging practices in the show ring which give the miniature appaloosa & pintaloosa horses equal consideration with all miniature horses.

  4. To utilize membership numbers to reduce advertising costs for all members.

International Miniature Appaloosa & Pintaloosa Club - MISSION STATEMENT

This club will bring together the common interests of Miniature Horse enthusiasts who share the pattern preferences recognized as appaloosa and pintaloosa. This club will offer a place for its members to come together without prejudice to discuss the interests and issues unique to the appaloosa and pintaloosa Miniature Horse. Our primary goal is to encourage the production of a correct and balanced appaloosa or pintaloosa Miniature Horse while maintaining the integrity of the breed according to published Miniature Horse standards. Members of this group will foster growth and membership in the International Miniature Appaloosa and Pintaloosa Club through promotion, recognition, advertisement and publicity of Miniature Horses visually characterized as appaloosa and pintaloosa.

MEMBERSHIP:
Membership is open to any person, partnership or corporation owning or interested in Miniature Appaloosa and-or Pintaloosa horses.

Any applicants membership may be reviewed for provisional status and/or dissapproved by the Board of Directors due to an applicants general reputation of disfavor and/or known dissatisfactory business practices.

FEES:
Membership fees are currently $25 annually, per farm/single membership, $50 annually for Corporate Membership, Sponsorship $100 annually.
Fees are due annually by November 1st for the following year, to prevent lapse in privileges, such as advertising in magazine ads. Currently membership year runs January through December with renewals due by November 1st.
Fees are payable to the Treasurer.

Fees may be raised according to need on an annual basis or if agreed upon by majority vote of members in good standing.
Membership fees are to cover expenses of promoting the club mission, including but not limited to: club ads, fliers etc.

  • All expenses to be charged to the club must be voted on by the majority of the club members in good standing at the time of voting. By consensus of the board of directors, IMAPC may spend up to $100.00 for necessities without going to a vote of the membership. In the event a majority of the paid club members in good standing do not act to vote, the Executive Board may make the final decision on expenditures. The Board of Directors may also pay for all ads that exceed this amount in which members have paid their share to be advertised in.
  • The Board of Directors does not assume financial responsibility for any costs incurred by members without a vote and prior approval of the Board of Directors
  • Additional advertising costs are not included in basic membership.
  1. Advertising ad fees are based on the number of members participating. The amount will be posted on the message board/mass e-mails or any other form of communication deemed necessary and appropriate to reach all members and payments are to be made to the Treasurer or as indicated in communication.
  2. Members are NOT required to support any particular medium of advertising.
  3. If payment is not received before deadline for any particular ad, regardless of medium, your ad will not be published in that issue.
  4. If any member is delinquent in making payment for the advertising in question, especially if not a first occurrence, that causes delays in submitting advertising, loss of funds for IMAPC, due to having ad redone etc. that member shall be reviewed for inclusion in any further advertising and asked to reimburse the Club for any extra expenditures it may have had to absorb due to the member delay.

Termination of membership will not result in a refund!

MEMBERSHIP PRIVILEGES:
Paid membership grants one vote whether it be an individual, partnership or corporation in all matters. Any membership in good standing is invited and encouraged to volunteer for chairperson or to be acommittee member of any of the committees.

  • PHOTOS:
    1. Photos in advertising will be allowed according to space and costs and will be rotated in turn beginning with charter members. (Please identify all photos with horse's registry, official name in each registry, age, and the sex )
    2. Photos for Club use must be approved by the Ad Design Committee. Photos can be pasture photos, show photos or professional photos, but must be good representations of our mission and goal to be accepted for use in Club literature and ads.
    3. Pictures of horses to be used in any advertising venue are either owned by member's farm or have been produced by the member farm and have the member farm's name with written permission of current owner provided.
  • USE OF THE PHOTO GALLERY- Rules will be posted on the forum.

VOTING:
Majority Votes consist of 2/3 membership voting a majority. When less than 2/3 of the membership vote on an issue the Executive Board has the choice of calling for a re-vote or making their best decision based on those votes cast. Any member in good standing can request a vote by filing the issue with the Secretary-Treasurer to be voted on. It should be noted that for the current utilization of this club (November, 2006) all voting is being performed and decided on VIA the internet in the members section of the forum.

EXECUTIVE BOARD:
The Executive Board is responsible for managing the affairs and assets of the International Miniature Appaloosa & Pintaloosa Club as well as establishing new ways to promote Miniature Appaloosas and Pintaloosas.

Officers will serve the following terms:
President 2 years, Vice-President 2 years, Secretary/Treasurer 4 years. Officers may serve for more than two consecutive terms. Officers will be elected as needed and in cases of resignation, with normal nominating and voting procedures by members in good standing.

The term of office for any officer ends December 31st of their final year of office.
Nominations for individuals to fill the soon to be vacated office(s) will be performed from October 15th to October 31st of the same said year, hereto defined as an election year.
Nominations may be posted either on the open forum, and/or sent to the Secretary-Treasurer.
The final list of Nominees will be posted by the office of the Secretary-Treasurer, on November 1st, after the nomination time frame.

Open voting, by members in good standing, will be cast either on the open forum and/or sent to the Secretary-Treasurer.
The period of voting will be from November 1st through Novembers 15th of the election year. From November 16th through December 31st of the election year, the incumbent officer will transition their office and duties to the newly elected officer.
The new officer will officially assume duties of the new office January 1st, of the year following the election year.

OFFICER AND DIRECTOR JOB DESCRIPTIONS
The following job descriptions have been written and approved by the 2006 Executive Board of the International Miniature Appaloosa & Pintaloosa Club on November, 2006. The Executive Board is made up of the President, Vice President, and Secretary-Treasurer.
The Secretary-Treasurer position may split and constitute two separate positions on the Executive Board, as the club expands.

PRESIDENT:

  1. Keep the club going in the direction of promoting the Miniature Appaloosa and Pintaloosa patterns and the incorporation of the same to all Miniature horse types.
  2. State date and time of regular monthly meetings.
  3. Call Special Meetings when needed.
  4. Organize and preside over all meetings.
  5. Appoint members of standing and special committees.
  6. Perform any other functions the Executive Committee deems necessary.
  7. Perform all duties in a timely and professional fashion.
  8. Act as moderator on IMAPC Forum.

VICE PRESIDENT:

  1. Preside at meetings in absence of the President.
  2. Will be a member of any Committees and liaison to the Executive Board for a final vote if required.
  3. Perform any other functions the Executive Board deems necessary.
  4. Keep minutes of the Executive Committee meetings.
  5. Post President’s committee nominations and chairman of the sub-categories.
  6. Act as Moderator on the IMAPC Forum.
  7. Perform all duties in a timely and professional manner.

SECRETARY-TREASURER:

  1. Track membership and collect dues.
  2. Keep track of pre-paid dues and membership fees.
  3. Receive applications from new members and provide information to Membership Recruiter Chair to post on forum when membership is paid.
  4. Maintain~archive advertising cost history provided by AD Coordinator Chairperson.
  5. Assist in tracking payments of ads with AD Coordinator and receive final figures/documentation for each ad issued.
  6. Make bank deposits. Mark each farm paid when money is received for memberships.
  7. Send out membership payment and renewal reminders.
  8. Forward member list to the AD Coordinator or ad designer for each new ad.
  9. Keep an up-to-date email list of paid members. (Membership~Recruiting Chairperson to support maintaining the same).
  10. Reimburse and pay bills for IMAPC that are approved by the Executive Board.
  11. Keep financials for the IMAPC.
  12. Answer member question about payments.
  13. Post nominations for officers and set up & monitor polling/voting.
  14. Announce the results of the elections on the IMAPC Forum and maintain a record of the same.
  15. Perform any other functions the Executive Committee deems necessary.
  16. Maintain the official roster of all paid members.
  17. Act as Moderator on IMAPC Forum.
  18. Perform all duties in a timely and professional manner.

Chairperson(s)~Directors:
The directors of the International Miniature Appaloosa & Pintaloosa Club have very specific jobs to be done. These positions were appointed by the President and are to be confirmed by the Executive Board. Their term will continue unless the Chairperson~Director decides to no longer hold the position or if the person holding the position does not abide by the bylaws of the International Miniature Pintaloosa & Appaloosa Club. In case of violation of rules, the Executive Board or a majority of the Executive Board may ask for the resignation or expel the Director/Chairperson.

Ad Coordinator Chairperson(s)~DIRECTOR:

  1. Will announce the theme for the upcoming advertising and where that advertising will appear. The themes will come from the advertising committee and will be posted by the advertising directors.
  2. List on forum what each advertising member owes.
  3. Send in the advertisements in the proper format by the due dates, this includes any other media the Executive Board may approve to include.
  4. Directs the creation and production of club advertisements and literature for public distribution.
  5. Seek out new ideas for advertising to present to the Executive Board and to membership.
  6. Be the holding place for the left over brochures and fliers
  7. Notify the members through the forum where advertising materials is stored.
  8. Make sure that literature is distributed to shows and activities in a timely fashion.
  9. Keep receipts for reimbursement/payments of ads, to be submitted to the Treasurer and approved by the Executive Board, updated at no less than a monthly basis.
  10. Maintain Liaison between the miniature horse clubs and International Miniature Appaloosa & Pintaloosa Club.
  11. Perform any other functions the Executive Board deems necessary.
  12. Send out mass emails or post on the forum when new advertising costs are posted.
  13. Perform all duties in a timely and professional manner.

WEB MASTER Chairperson(s) ~DIRECTOR:

  1. Answer emails regarding membership, forum problems, photo gallery problems, etc.
  2. Add new members to member's user area so they can participate in the polls and members only features of forum.
  3. Keep the website updated.
  4. Keep the forum updated.
  5. Keep the membership page updated.
  6. Help design banners for the website if necessary for members.
  7. Look for ways to improve the website and get the word of the Miniature Appaloosa & Pintaloosa Club spread.
  8. Help members with their avatars.
  9. As one of the moderators, watch for post/posters that are not suitable for the forum.
  10. Post articles/pictures from members on to the appropriate part of the site or forum.
  11. Post accomplishments of horses and their owners.
  12. Add amendments to the by-laws as approved.
  13. Perform any other functions the Executive Board deems necessary.
  14. Set up photo gallery and/or for sale gallery for new members.
  15. Preform all duties in a timely and professional manner.

MEMBERSHIP~HOSPITALITY Chairperson(s) DIRECTOR:

  1. Send the Welcoming letter to the new members and announce them on the forum.
  2. Watch the new sign-ups on the forum and send them an email thanking them for signing up, notify them of membership benefits, and invite them to join in on the discussion of the International Miniature Appaloosa & Pintaloosa Horse Club.
  3. Aid new members in getting their banners & website listing info to appropriate person for inclusion as soon as possible.
  4. Perform Liaison functions with the various miniature horse clubs as the Executive Board deems appropriate.
  5. Peruse-scout magazines, other forums and websites etc. for appaloosa-pintaloosa breeders to issue invitations to join our club.
  6. Perform any other functions the Executive Board deems necessary.

HISTORIAN Chairperson(s) ~ DIRECTOR:

  1. Maintain a historical archive of the club in both electronic and hardcopy form.
  2. Provide miniature horse historical research support functions for members.
  3. Keep minutes at all committee meetings archived and provide copies as required to the Executive Board.
  4. Perform any other functions the Executive Board deems necessary.

AMENDMENTS:
We may amend at any time by posting amended terms to our site after discussion and appropriate voting procedures are follwed. All amended terms become effective 30 days after posting.


PENALTIES:
Fair business practices are to be maintained by all members at all times, any person that fails to comply may be suspended or expelled from the International Miniature Appaloosa & Pintaloosa Club.

  • Charges of Misconduct - Procedure: Any party may file with the Secretary/Treasurer, upon information and belief charges of misconduct against any other member, including but not limited to officers and committee chairs or other members. Prepare a plain and concise statement specifying the alleged acts of misconduct or misrepresentation and file with the Secretary-Treasurer. The Secretary-Treasurer shall refer copies of said statement, together with any other pertinent information to the Board who shall act as Ethics and Hearing Committee with the exception of charges of misconduct against a Board member. In this case the Board shall select an Ethics and Hearing Committee of other members in good standing exclusive of the Board, of at least three members. Before any action shall be taken against the party accused, he/she shall be furnished with a concise statement of the allegations, together with a notice that he/she file a written answer thereto within 15 days, or in default thereof, said charges may be taken as true. The Ethics and Hearing Committee shall report its finding and recommendations to the Board of Directors, who shall, by a majority vote, censure or expel either permanently or for some duration or time, any member, officer or other person. Should the Ethics and Hearing Committee recommend expelling, the Board of Directors shall then ask the Secretary/Treasurer to carry the subject to a closed Executive Board for a final hearing/decision on the matter. All decisions made by the Executive Board will be considered final.
  • Grounds for Penalties. If the Board of Directors of the International Miniature Appaloosa & Pintaloosa Club, finds that any person has failed to comply with any of these Rules and Regulations or has been guilty of any misconduct or misrepresentation which in any manner involved the purpose or good name of the Club, such person may be expelled or suspended from membership.
  • Restoration of Membership. The Board of Directors may restore to good standing as a member, any person previously deprived of the privileges of the membership by reason of expulsion, suspension, or otherwise, upon compliance with the requirements imposed by said Board.

DISSOLUTION:
In the event this Club votes to dissolve, by a 2/3 majority vote of the members in good standing, voting via polls and/or mass emails to Sec-Treas. all assets, either financial or fixed, shall be equally divided first between AMHA and AMHR Appaloosa-Pintaloosa programs if they exist and if they DO NOT exist at such time as dissolution is deemed appropriate, all assets will be divided equally between AMHA and AMHR member YOUTH programs. All dispersements to be handled by the Secretary-Treasurer with documentation provided to each member in good standing.
